1. Agreement to Terms

These Terms of Service (“Terms”) govern your access to and use of the BiteTalk Live website, content, recipes, and related features (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

2. Use of the Service

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service in any way that violates applicable laws or regulations.
• Attempt to gain unauthorized access to the Service, other accounts, or systems.
• Interfere with or disrupt the security or operation of the Service.
• Copy, scrape, or reproduce large portions of the Site for commercial purposes without permission.

3. Recipes, Content & No Professional Advice

The recipes, cooking instructions, and other content on the Site are provided for informational and entertainment purposes only. While we strive for accuracy and test recipes carefully, results may vary based on your ingredients, equipment, and experience.

The content on the Service does not constitute professional health, nutrition, or safety advice. Always use your own judgment when handling food, knives, heat, and cooking equipment, and consult a qualified professional when needed.

3.1 My Kitchen and AI-Assisted Features

My Kitchen photo and shopping-receipt recognition, inventory matching, recipe ideas, and generated recipes may use automated and artificial-intelligence systems. Recognition and generated content can be incomplete or inaccurate. Receipt abbreviations, package counts, weights, and quantities may be misread. You are responsible for reviewing suggested inventory items, ingredient quantities, allergens, cooking instructions, and food-safety decisions before relying on them.

My Kitchen does not determine whether food is fresh, safe to eat, properly stored, or within a reliable use-by period from a photograph or receipt. A receipt transaction date is not an expiration or use-by date. Never rely on a photo scan, receipt scan, or generated recipe as a food-safety inspection.

4. Memberships, Kitchen Credits & Member Benefits

BiteTalk memberships may be offered on monthly or annual recurring terms. Unless canceled, a subscription renews automatically at the price and billing interval shown at checkout, plus any applicable taxes. Payments and billing management are processed through Stripe. Canceling stops future renewals; access generally continues through the end of the paid period unless access is suspended for fraud, abuse, nonpayment, or another violation of these Terms.

Home, Plus, and Max plans include access to BiteTalk's AI-assisted recipe features, including recipe creation and images, recipe audits, Recipe Ideas, My Kitchen photo and receipt scans, AI follow-up edits, saved recipes, and the members library. Plans differ in monthly Kitchen Credits, rolling 24-hour My Kitchen scan limits, and stated member benefits. Annual memberships receive their Kitchen Credit allowance monthly rather than receiving all twelve months at once.

4.1 Usage Allowances

The current action schedule is: 10 Kitchen Credits for a complete recipe with its standard image; 12 for a recipe audit; 2 for a batch of Recipe Ideas; 2 for a My Kitchen photo or receipt scan using one member-selected image plus 1 for each additional member-selected image (receipt imports currently accept up to two images, while standard kitchen-photo scans accept up to four); 1 for an AI follow-up answer; 2 for an AI recipe edit; and 1 additional credit when web research is used. Internal receipt-processing segments do not count as additional member-selected images. Receipt uploads use the same My Kitchen scan allowance as food-storage photos. Automatic recovery retries for the same request do not add another customer charge. Any "about" or estimated recipe count shown on the Site is an illustration based on standard 10-credit recipe workflows. Your account meter is the source for your current allowance, remaining usage, rolling 24-hour scan activity, and reset date.

When an allowance or rolling 24-hour scan limit is reached, new AI-assisted actions may pause until the applicable reset, plan change, or additional usage purchase becomes available. Reaching a limit does not remove saved recipes, member library access, or other non-AI account content. Included monthly credits reset on the schedule shown in your account and have no cash value. We may prevent automated, abusive, shared-account, or unusually disruptive usage.

Subscribers on an original plan whose price BiteTalk has expressly confirmed as grandfathered may keep that price while the original subscription remains continuously active. A grandfathered subscriber begins with the current Home usage allowance: 200 monthly Kitchen Credits and 6 My Kitchen scans in a rolling 24-hour period. Canceling that subscription or voluntarily changing plans may end grandfathered price eligibility, and the former price may not be available again.

4.2 Max Member Discounts

A Max membership includes 10% off eligible Carico products quoted through BiteTalk and 10% off the eligible BiteTalk Chef Services service subtotal. Membership must be active and verified when the quote is created. The Chef Services benefit does not apply to taxes, travel, groceries or other reimbursable costs, third-party fees, gratuities, rentals, or other excluded charges stated in the quote. Product eligibility, availability, shipping, taxes, and any manufacturer or fulfillment restrictions may apply to Carico purchases.

Max benefits are non-cash, non-transferable, and may not be combined with another discount or promotion unless BiteTalk approves it in writing. Chef Services remain subject to availability, service area, minimums, and the terms of the applicable quote or service agreement.

5. Allergens & Dietary Needs

Many recipes may contain common allergens (such as dairy, gluten, nuts, shellfish, etc.). It is your responsibility to review ingredients and adapt recipes based on your dietary needs, allergies, or restrictions. We cannot guarantee that any recipe is free from specific allergens.

6. Intellectual Property

The Service, including all text, recipes, images, graphics, logos, and other content, is owned or licensed by BiteTalk Live and protected by copyright and other laws. You may use the Site for personal, non-commercial purposes, such as cooking recipes at home or sharing links.

You may not reproduce, distribute, modify, or publicly display content from the Service for commercial purposes without prior written permission.

7. Affiliate Links & Sponsored Content

Some links on the Site are affiliate links, including those to Amazon and other retailers. This means we may earn a small commission if you make a purchase through those links, at no additional cost to you.

We aim to clearly label affiliate placements and sponsored recommendations. For more detail, please see our separate Affiliate Disclosure page.

8. Third-Party Services

The Service may link to or integrate with third-party websites, platforms, and tools (such as TikTok, YouTube, Instagram, or Amazon). We are not responsible for the content, policies, or practices of these third parties.

Your use of third-party services is governed by their own terms and policies, not these Terms.

9. User-Submitted Content

From time to time, you may choose to share feedback, recipe photos, or messages with us (for example, via email or social media). By sending us content, you grant BiteTalk Live a non-exclusive, worldwide, royalty-free license to use, reproduce, and display that content for promotional or community purposes, subject to any written agreement to the contrary.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, BITETALK LIVE DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee that the Service will be uninterrupted, error-free, secure, or free of harmful components.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, BITETALK LIVE AND ITS OWNERS, OFFICERS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE AMOUNT YOU PAID, IF ANY, FOR ACCESSING THE SERVICE IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless BiteTalk Live and its owners, affiliates, and partners from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your violation of these Terms or misuse of the Service.

13. Changes to the Service & Terms

We may update or modify the Service at any time, including adding or removing features. We may also update these Terms from time to time. When we do, we will update the “Last updated” date at the top of this page.

Your continued use of the Service after changes become effective means you accept the revised Terms.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Minnesota, USA, without regard to its conflict of laws principles.
